1. Purpose of These Terms

These Terms of Service govern the use of Importify by Suppliers and Merchants. Importify acts as a technology platform that facilitates product synchronization and data exchange between suppliers and merchants.
By using Importify, you agree to the collection, processing, and display of product-related data as described below.

2. Product Data Synchronization

When a Supplier connects their store or API endpoint to Importify, they authorize Importify to access and process product-related data necessary for synchronization.

This may include, but is not limited to:

• Product titles and descriptions
• Images and media
• Pricing information
• Variants, SKUs, and inventory-related metadata
• Product categories, tags, and brand attributes

Suppliers may choose which products, categories, tags, or brands are made available for synchronization.

3. Automated Data Updates

To ensure product information remains accurate and up to date, Importify automatically scans connected Supplier API endpoints approximately every 20 hours.

These automated scans are used solely to:

• Detect updates to existing products
• Sync changes such as pricing, descriptions, variants, or availability
• Ensure Merchants receive the most current product data

Importify does not modify Supplier data at the source. All synchronized data remains hosted and controlled by the Supplier's API endpoint or store.

4. Merchant Product Importing

When a Merchant chooses to import products from a Supplier via Importify, the Merchant retrieves product data directly from the Supplier's connected API endpoint through Importify's synchronization system.

Imported product data may include:

• Product descriptions
• Pricing and variants
• Images and attributes required for listing the product in the Merchant's store

Merchants are responsible for reviewing and complying with their own platform's policies and applicable laws when publishing imported products.

5. Data Ownership and Control

All product data remains the intellectual property of the Supplier.

Importify:

• Does not claim ownership over Supplier product data
• Does not sell Supplier or Merchant product data
• Acts solely as a technical intermediary enabling synchronization and visibility

Suppliers may disconnect their API endpoint or remove products from synchronization at any time, after which Importify will cease further automated updates.

6. Marketplace Visibility (Supplier Opt-In)

When a Supplier opts in to publish products on the Importify Marketplace, the selected products will be made visible to all Merchants using the platform.

Marketplace visibility may include:

• Displaying product information to Merchants for browsing and discovery
• Allowing Merchants to import published products into their own stores
• Sharing only the product data explicitly selected by the Supplier

Suppliers retain full control over which products are published and may remove products from marketplace visibility at any time.

7. Data Usage Limitations

Importify uses synchronized product data strictly for the purpose of providing its services, including product discovery, synchronization, and importing between Suppliers and Merchants.

Importify does not:

• Use product data for advertising outside the Importify platform
• Sell or redistribute product data to unrelated third parties
• Modify Supplier product data at the source without authorization

All data usage is limited to what is necessary to operate and improve the Importify service.

8. Responsibility Disclaimer

Importify provides automated tools and infrastructure for product synchronization but does not guarantee the accuracy, availability, or completeness of product data at all times.

Importify is not responsible for:

• Product availability, pricing changes, or inventory levels
• Merchant sales performance or business outcomes
• Disputes between Suppliers and Merchants

Suppliers and Merchants are solely responsible for managing their own products, pricing, fulfillment, compliance, and business relationships.
